Shelve Ltd — Terms of Service
Welcome to Shelve — a pantry-management and meal-planning app designed by Shelve Ltd (“we”, “our”, “us”).
By using our website (https://shelveapp.com) or mobile app (collectively, the “Service”), you agree to these Terms of Service (“Terms”).
If you do not agree, please do not use the Service.
1. Eligibility and Accounts

You must be at least 16 years old to use Shelve.

You agree to provide accurate and complete information when creating your account and to keep it up to date.

You are responsible for all activity under your account, including actions by people you invite to share it with.

You must keep your login credentials confidential and notify us immediately if you suspect unauthorised access.
2. Our Services
Shelve allows you to:

Add and track pantry items and expiry dates

Create, store, or upload recipes
-
Plan meals and generate grocery lists (manually or automatically)
We may add, modify, or remove features at any time to improve the Service.
3. Free Service and Future Paid Features

Current access: Shelve is currently available to users at no cost

Future paid features: We may introduce optional paid features, subscription plans, or premium tiers in the future. These may include expanded sharing, additional devices, advanced tools, or other enhanced functionality.

Notice of pricing: If paid subscriptions or features are introduced, pricing, billing terms, and subscription details will be clearly communicated within the App or on our website before any charges apply.

User choice: Any paid plans will be optional. Users will be able to continue using the available free features without subscribing to a paid plan.

Billing and payments: If you choose to subscribe to a paid plan in the future, billing may occur through the relevant app store or payment provider and may renew automatically unless cancelled according to the provider’s terms.

Refunds: Because the Service is digital, refunds are generally not provided unless required by New Zealand consumer law.
4. Changes to Features and Plans
Shelve may modify, add, or remove features from the Service from time to time. This includes features available in both free and paid versions of the Service.
We may also introduce, change, or discontinue subscription plans, pricing structures, or feature availability.
Where changes affect paid subscriptions, we will provide reasonable notice as required by applicable law.
Your continued use of the Service after such updates constitutes acceptance of the revised features or plans.
5. Fair Use and Service Availability
To ensure a reliable experience for all users, Shelve may place reasonable limits on usage of certain features within the free version of the Service.
These limits may include restrictions on:

shared households

other usage thresholds
Shelve reserves the right to monitor usage and take appropriate action where activity may negatively impact the performance, integrity, or fairness of the Service.
6. Beta and Experimental Features
From time to time, Shelve may release beta or experimental features for testing.
These features may:

be limited in functionality

change without notice

be discontinued at any time
Beta features are provided for evaluation purposes and may not be fully supported.
7. Acceptable Use
You agree not to:

use the Service for any unlawful purpose or to violate any local or international law

upload malicious code, viruses, or harmful content

infringe on the intellectual-property rights of others

use another person’s account without permission

interfere with, disrupt, or overburden our infrastructure
Violation of this section may result in immediate suspension or termination of your account.
8. User Content
You retain ownership of any recipes, meal plans, or pantry data you create or upload.
By submitting content, you grant Shelve Ltd a non-exclusive, worldwide, royalty-free licence to store, process, and display that content solely for operating and improving the Service.
You are responsible for ensuring that your uploaded content does not violate any law or third-party rights.
We may remove or restrict access to content that violates these Terms or applicable law.
9. Shared Accounts and Household Access
Some versions of the Service may allow users to invite household members or collaborators to share certain data such as pantry items, grocery lists, and recipes.
At present, shared household access may not be available in the free version of the Service. These features may be introduced in future updates or within paid subscription tiers.
Where shared access is enabled, invited users may be able to view, modify, or delete shared content within the household workspace.
You are responsible for managing who you invite to shared accounts, and Shelve Ltd is not responsible for changes made by invited users within shared spaces.
10. Data Storage and Synchronisation
Shelve may store and synchronise user data across devices to enable the Service.
While we take reasonable steps to maintain reliable data storage and synchronisation, we do not guarantee that data will always be stored without loss, corruption, or delay.
You are responsible for maintaining your own copies of important information if necessary.
11. Intellectual Property
All intellectual property in the Shelve App, website, logo, and related materials is owned or licensed by Shelve Ltd.
You may not copy, modify, distribute, or create derivative works without our prior written consent.
All rights not expressly granted are reserved.
12. Privacy
Your privacy is very important to us.
Our use of your personal information is governed by our Privacy Policy, which forms part of these Terms.
By using Shelve, you consent to the collection and use of your data as described therein.
13. Termination
You may delete your account at any time.
We reserve the right to suspend or terminate your account, with or without notice, if:

you breach these Terms

you misuse the Service

we discontinue the Service
Upon termination, your right to use Shelve ceases immediately.
Some provisions (e.g., intellectual property, limitation of liability) survive termination.
14. Disclaimers
Shelve is provided “as is” and “as available.”
We make no warranties or representations that the Service will be uninterrupted, secure, or error-free.
We do not guarantee that Shelve will perfectly predict grocery needs or eliminate food waste — results depend on your own input and use.
15. Limitation of Liability
To the fullest extent permitted by New Zealand law:
Shelve Ltd and its directors, employees, and affiliates will not be liable for indirect, incidental, or consequential loss (including lost profits, data, or savings).
Our total aggregate liability to you for any claim arising out of or relating to the Service shall not exceed the amount you paid us in the previous 12 months.
Nothing in these Terms limits your rights under the New Zealand Consumer Guarantees Act 1993.
16. Indemnity
You agree to indemnify and hold harmless Shelve Ltd from any claims, damages, or losses arising from:

17. Changes to These Terms
We may update these Terms periodically.
If changes are material, we will notify you by email or app notification.
Your continued use of Shelve after such notice means you accept the updated Terms.
18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of New Zealand.
Any disputes shall be subject to the exclusive jurisdiction of the courts of New Zealand.
